Legal requirements to register a Limited Liability Company (SIA)

Name	Must begin or end with words “Sabiedrība ar ierobežotu atbildību” vai “SIA’’.
Share capital	The minimum share capital is EUR 2800, payable before incorporation.
Members	At least one, legal entity allowed. The application to register a company and the register of members must be certified by a notary or with a secure e-signature.
Member of the Board	At least one, only a private person, of any nationality. Signature - must be notarized or with a secure e-signature.
Beneficiary	Information need to be submitted to the Register, information is opened.
Registration address	Registration address Required by indicating the cadastral number.
Annual Report	Annual Report Opportunity to receive the submitted Annual Report in the Register.

Name	Must begin or end with words “Akciju sabiedrība” vai “AS”.
Share capital	The minimum share capital is EUR 35000, 25% paid before the incorporation, the term of payment of the entire share capital is up to 12 months.
Shareholders	Shareholders At least one, legal entity allowed. The application to register a company and the register of shareholders must be certified by a notary or with a secure e-signature.
Member of the Board	Member of the Board At least one, only a private person, of any nationality. Signature - must be notarized or with a secure e-signature.
Beneficiary	Information need to be submitted to the Register, information is opened.
Registration address	Registration address Required by indicating the cadastral number.
Annual Report	Annual Report Opportunity to receive the submitted Annual Report in the Register.

Documents to be submitted	Notarized copies of registration certificate, the articles of association. Authorization to open a branch. Authorization to represent a foreign company in activities related to the branch. Each document must be accompanied by a notarized translation into Latvian.
